These Terms and Conditions ("Terms") govern your access to and use of cellularsolutions.com (the "Site") and apply to all purchases of products from Cellular Solutions LLC and its current and future parent companies, subsidiaries, affiliates, related entities, successors, assigns, owners, officers, directors, managers, members, employees, contractors, agents, representatives, licensors, service providers, and any other persons or entities acting on its behalf (collectively, "CS," "we," "us," or "our").

These Terms apply to all purchases and transactions involving CS products, whether made through the Site, customer service representatives, telephone orders, subscription renewals, email communications, affiliate or referral links, promotional offers, social media channels, mobile applications, authorized third-party sales channels, or any other sales channel operated by or on behalf of CS.

By accessing or using the Site, purchasing products, creating an account, enrolling in a subscription, or otherwise interacting with CS, you agree to be bound by these Terms, our Privacy Policy, Return & Refund Policy, Subscription Terms, FDA & Supplement Disclaimer, and any other policies or notices expressly incorporated herein by reference.

We may modify these Terms from time to time. Changes will be effective upon posting to the Site. CS sells dietary supplements and related products. You are solely responsible for determining whether any Product is appropriate for your individual circumstances before purchasing or using it.

You agree that CS shall not be responsible for injuries, adverse reactions, damages, losses, or claims arising from your failure to review product information, failure to follow product instructions, failure to consult a qualified healthcare provider, misuse of Products, undisclosed medical conditions, allergies, sensitivities, medication interactions, or use inconsistent with product labeling or applicable instructions.

Authorized Sales Channels

CS products are intended for sale only through CS and its authorized sales channels. Products purchased from unauthorized resellers, distributors, marketplaces, auction sites, third parties, or other unauthorized sources may be counterfeit, expired, improperly stored, altered, or otherwise compromised.

CS does not guarantee the authenticity, safety, quality, condition, effectiveness, storage history, or chain of custody of products obtained from unauthorized sources. Products purchased from unauthorized sellers are not eligible for refunds, replacements, credits, guarantees, customer support, or other benefits offered by CS, except where required by applicable law.

CS reserves the right to refuse service, limit purchases, cancel orders, or deny claims where it reasonably believes products have been purchased for unauthorized resale or distribution.

Use by Third Parties

Products are purchased and used at the customer's own risk. If you provide, distribute, recommend, transfer, gift, share, administer, or otherwise make any Product available to another person or animal, you do so at your sole risk and responsibility.

You are solely responsible for ensuring that any recipient reviews all applicable product information, ingredients, warnings, instructions, and health considerations and consults an appropriate healthcare or veterinary professional, as applicable, before use.

CS does not represent or warrant that any Product is appropriate for any particular individual, child, dependent, family member, patient, client, customer, animal, or other third party. To the fullest extent permitted by law, CS disclaims liability arising from or relating to the use of Products by persons or animals other than the original purchaser, including claims involving adverse reactions, sensitivities, allergies, contraindications, misuse, or failure to obtain appropriate professional guidance.

If you purchase a Product on behalf of, for the benefit of, or for use by another person or animal, you agree to indemnify, defend, and hold harmless CS and its Affiliates from and against any claims arising from such third-party use.

No Unauthorized Representations

No affiliate, ambassador, influencer, practitioner, healthcare provider, reseller, customer, employee, contractor, representative, or other third party is authorized to make any representation, warranty, guarantee, claim, promise, statement, or assurance on behalf of CS except as expressly set forth in official written materials published by CS.

You acknowledge and agree that you are not relying on any statement, representation, guarantee, testimonial, opinion, recommendation, or promise made by any third party when purchasing or using a Product. To the fullest extent permitted by law, CS shall not be responsible or liable for statements, recommendations, claims, or representations made by any third party regarding any Product.

CS has not evaluated the safety, effectiveness, dosage, or suitability of its Products for use by animals unless expressly stated on the applicable product labeling. Any use of a Product by or for an animal is undertaken solely at the user's own risk and responsibility.

Site Content: Our Intellectual Property Rights

Unless otherwise noted, the Site as a whole, and all materials that are part of the Site, are copyrights, trademarks, or other intellectual properties owned, controlled, or licensed by CS or affiliated entities. Under no circumstances will we be liable for any loss or damage caused by your reliance on information obtained through these forums. The opinions expressed in these forums are solely the opinions of the participants, and do not reflect the opinions of CS or its affiliates.

We have no obligation whatsoever to monitor any of the content or postings on the message boards, chat rooms, reviews, or other public forums made available through this Site. However, you acknowledge and agree that we have the absolute right to monitor the same at our sole discretion. In addition, we reserve the right to alter, edit, refuse to post, or remove any postings or content, in whole or in part, for any reason and to disclose such materials and the circumstances surrounding their transmission to any third party in order to satisfy any applicable law, regulation, legal process, or governmental request.

Online Commerce

You agree to be financially responsible for all purchases made by you or someone acting on your behalf through the Site. You agree to use the Site and to purchase products through the Site for legitimate, non-commercial purposes only. You also agree not to make any purchases for speculative, false, or fraudulent purposes or for the purpose of anticipating demand for a particular product. You agree to only purchase goods for yourself or for another person for whom you are legally permitted to do so. When making a purchase for a third party that requires you to submit the third party's personal information to us or a merchant, you represent that you have obtained the express consent of such third party to provide such third party's personal information.

Orders are offers to purchase, accepted only when we ship the product or send order confirmation. We accept the payment methods displayed at checkout; payments are processed by Authorize.Net via Easy Pay Direct. Sales tax is calculated and collected based on the shipping address.If a payment is declined, reversed, disputed, charged back, or otherwise fails, we may suspend or cancel the affected order, subscription, or account.

Product descriptions, ingredients, and images are provided for informational purposes; slight variations may occur. Prices are listed in U.S. dollars and may change at any time. Multi-bottle and bundled pricing reflect promotional discounts and may be modified or withdrawn. Inventory is limited and subject to availability. We may correct pricing or inventory errors and cancel affected orders, with a refund of any amounts charged. We reserve the right to limit quantities, refuse service, and decline orders we suspect of fraud or resale.

CS reserves the right, in its sole discretion and to the fullest extent permitted by law, to refuse service, limit quantities, restrict sales, cancel orders, terminate accounts, suspend subscriptions, or prohibit transactions for any lawful reason, including suspected fraud, abuse of promotions, unauthorized resale, excessive returns, chargeback abuse, suspected policy violations, or conduct that may expose CS to legal, financial, or reputational risk.

For purposes of full disclosure, we may earn money, such as in the form of commissions, or receive other benefits for recommending, endorsing, or linking to a product or service via this Site or via an email to our database. We may receive compensation in the event that you click on certain links on this Site and make a purchase after doing so.

Chargebacks and Payment Disputes

Customers agree to contact CS regarding any order issue before initiating a chargeback, payment dispute, or similar claim with a payment processor or financial institution. CS reserves the right to challenge chargebacks or payment disputes that are inconsistent with these Terms, carrier delivery records, the Return & Refund Policy, subscription records, account records, or other transaction documentation. If a refund has already been issued, approved, or is otherwise available under CS policies, duplicate recovery through a chargeback or payment dispute may be contested by CS.

Subscriptions

Certain Products may be offered through a recurring subscription program. By enrolling in a subscription, you authorize CS to charge your selected payment method at the recurring interval you select until canceled.

You may cancel your subscription at any time through your account portal or by contacting customer support. Cancellation requests submitted after a renewal order has been processed may apply to future renewal orders only.

Refund Policy

Promotions and Discount Codes

Promotional codes are subject to terms posted at the time of issuance. They may be limited to one per order, non-stackable, non-transferable, and may be revoked for misuse.

Shipping and Delivery

CS ships products through third-party carriers and fulfillment providers. Shipping and delivery dates are estimates only and are not guaranteed. Delays may occur due to carrier issues, weather events, supply chain disruptions, address errors, or circumstances beyond our reasonable control.

Title to products passes to you upon shipment. Risk of loss for products passes to you upon delivery to the shipping address designated in your order, as confirmed by the applicable carrier. Once a shipment is marked as delivered by the carrier, you assume responsibility for any loss, theft, damage, or misdelivery occurring thereafter, except as otherwise required by applicable law.

You are responsible for providing accurate shipping information. CS is not responsible for delays, losses, or additional costs resulting from inaccurate or incomplete shipping information provided by you.

If a package is lost, damaged in transit, or otherwise not delivered as expected, you agree to cooperate with CS and any applicable carrier in connection with any investigation, insurance claim, or delivery verification process.

Results Disclaimer

Individual results vary. Any testimonials, endorsements, reviews, customer experiences, before-and-after examples, product ratings, or other statements regarding product performance are illustrative only and are not guarantees, warranties, or representations that any individual will achieve the same or similar results. Results depend on numerous factors beyond the control of CS, including individual health conditions, lifestyle factors, product usage, adherence to instructions, and other variables.

Limitation Period for Claims

ANY CLAIM NOT COMMENCED WITHIN SUCH PERIOD SHALL BE PERMANENTLY BARRED.

YOU AGREE TO WAIVE ANY STATUTE OF LIMITATIONS OR OTHER LAW THAT WOULD OTHERWISE PERMIT A LONGER LIMITATION PERIOD, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

Indemnification

You agree to indemnify, defend, and hold harmless CS and its Affiliates from and against any claims, liabilities, damages, losses, costs, expenses, judgments, settlements, and reasonable attorneys' fees arising out of or relating to:

(a) your violation of these Terms;

(b) your misuse of any Product;

(c) your violation of any law;

(d) your infringement of any intellectual property or other rights;

(e) your provision, transfer, gifting, sharing, administration, or recommendation of Products to any third party or animal; or

(f) your fraudulent, deceptive, or unauthorized conduct.

Accuracy of Materials

The materials appearing on this Site are not comprehensive and are for general information purposes only. CS does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on this Site, or otherwise relating to such materials or on any resources linked to this Site.

Right to Terminate

We may suspend or terminate your right to use this Site at any time upon written notice to you for any breach of these Terms and Conditions.

Severance

Any term of these Terms and Conditions which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms and Conditions is not affected.

Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of Utah.

Dispute Resolution; Mandatory Individual Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

Except for disputes that cannot legally be subject to arbitration, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, any Product, any purchase, any subscription, any advertisement, representation, communication, transaction, or relationship between you and CS, whether based in contract, tort, statute, fraud, misrepresentation, product liability, personal injury, consumer protection law, warranty, or any other legal theory, shall be resolved exclusively through final and binding arbitration on an individual basis.

Before initiating arbitration, the party asserting the claim must provide written notice describing the dispute in reasonable detail and allow thirty (30) days for the parties to attempt good-faith resolution. If the dispute is not resolved within that period, either party may commence arbitration.

The arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, except as modified by these Terms. The arbitration shall be conducted exclusively in the State of Utah, and Utah law shall govern these Terms and any dispute between the parties, without regard to conflict-of-law principles.

YOU AND CS AGREE THAT ALL CLAIMS SHALL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, CLASS MEMBER, REPRESENTATIVE, PRIVATE ATTORNEY GENERAL, OR PARTICIPANT IN ANY CLASS, COLLECTIVE, CONSOLIDATED, COORDINATED, REPRESENTATIVE, OR MASS ACTION OR PROCEEDING.

The arbitrator shall have no authority to consolidate claims, join parties, conduct a class arbitration, conduct a mass arbitration, or award relief on behalf of any person or entity not a party to the arbitration. To the fullest extent permitted by applicable law, claims involving multiple claimants may not be consolidated, coordinated, or arbitrated together absent the written consent of CS.

YOU AND CS KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR MASS ARBITRATION.

Each party shall bear its own attorneys' fees and costs unless applicable law requires otherwise or the arbitrator determines that an award of attorneys' fees is required by applicable law.

You may opt out of this arbitration agreement by sending written notice to CS within thirty (30) days of your first purchase from CS or your first acceptance of these Terms, whichever occurs first. Your notice must include your full name, mailing address, email address associated with your purchase, and a clear statement that you wish to opt out of arbitration. A timely opt-out will apply only to this arbitration provision and will not affect any other provision of these Terms.

If any portion of this arbitration provision is found unenforceable, the remaining portions shall remain in full force and effect to the fullest extent permitted by law.

Electronic Communications

By providing your email address, telephone number, or other contact information, creating an account, making a purchase, or enrolling in a subscription, you consent to receive electronic communications from CS relating to your account, purchases, subscriptions, products, customer service inquiries, and other transactional matters. You agree that such electronic communications satisfy any legal requirement that communications be in writing.

Entire Agreement

These Terms, together with the Privacy Policy, Return & Refund Policy, Subscription Terms, FDA & Supplement Disclaimer, and any other policies expressly incorporated by reference, constitute the entire agreement between you and CS regarding the subject matter herein and supersede all prior or contemporaneous communications and understandings.

Assignment

CS may assign or transfer these Terms, in whole or in part, without restriction. You may not assign, transfer, or delegate any rights or obligations under these Terms without the prior written consent of CS.

Force Majeure

CS shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including natural disasters, severe weather, fire, flood, pandemic, public health emergency, labor disputes, supply chain interruptions, carrier delays, internet outages, telecommunications failures, cyberattacks, governmental actions, war, terrorism, civil unrest, or utility failures.
